Terms and Conditions

These Terms and Conditions (“Terms”) govern the purchase, access and use of services offered under the KadakHost brand.
KadakHost is a brand owned and operated by VRSK Enterprises, India (“KadakHost”, “VRSK Enterprises”, “we”, “us” or “our”).
By creating an account, placing an order, making a payment, accepting a quotation, subscribing to a service, or otherwise using any service provided by KadakHost, you (“Customer”, “you” or “your”) agree to these Terms.
If you are purchasing or using the Services on behalf of a company, organisation or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not purchase or use the Services.
1. Services Covered by These Terms
These Terms apply to all products and services provided under the KadakHost brand.
The Services include Managed App Hosting comprising Static Site Hosting, Web App Hosting, Managed Databases and Custom Application Hosting; AI Hosting; separately scoped High Availability (HA) and Disaster Recovery (DR) solutions; AI Consulting & Automation, including fixed-scope builds, advisory, training and optional ongoing care; and migration and other agreed technical work.
A product description, accepted quotation or order identifies the edition, resources, included setup, management responsibilities and charges for the particular Service. Specific inclusions agreed at purchase are not removed by general exclusions elsewhere in these Terms. Mandatory statutory rights apply regardless of a contractual exclusion. An enquiry is not an accepted order or a promise of immediate provisioning.
1.1 Automation and Application Consulting
KadakHost may provide consulting and implementation assistance relating to workflow automation platforms, self-hosted applications and related technologies, including activities such as:
- installation and initial setup;
- deployment assistance;
- configuration;
- workflow architecture;
- integration assistance;
- environment configuration;
- database configuration;
- reverse proxy and SSL configuration;
- migration assistance;
- troubleshooting;
- performance recommendations;
- security recommendations;
- backup recommendations;
- deployment on customer-owned or KadakHost-provided infrastructure; and
- other agreed professional services.
The exact scope of each consulting engagement will be determined by the applicable quotation, order, statement of work, email confirmation or service description.
Consulting does not include ongoing hosting, maintenance, monitoring, workflow support, application support or infrastructure management unless explicitly included in the purchased service.
Customers remain responsible for ensuring that their use of any software, application, integration or third-party service complies with applicable licensing terms, laws and third-party terms.
2. Managed App Hosting
Managed App Hosting allows customers to operate supported applications on infrastructure managed or administered by KadakHost.
Depending on the selected plan or agreed scope, Managed App Hosting may include services such as:
- application deployment;
- server provisioning;
- operating system management;
- container deployment;
- SSL certificate configuration;
- DNS assistance;
- database hosting;
- application updates;
- server updates;
- monitoring;
- backup management;
- restore assistance;
- disaster recovery assistance;
- infrastructure troubleshooting;
- basic application availability monitoring;
- security configuration;
- infrastructure migration; and
- reasonable technical support.
The exact features included with a Managed App Hosting service will be specified in the applicable product description, quotation, order or service agreement.
Features not expressly included must not be assumed to be part of the service.
2.1 Third-Party and Open-Source Applications
Many applications hosted or supported through KadakHost may be developed and maintained by independent third parties or open-source communities.
KadakHost may provide infrastructure, deployment, configuration and management services relating to such software but does not become the developer, publisher or owner of third-party software merely because we host, install or manage it.
Unless expressly included in your plan, KadakHost does not guarantee:
- that third-party applications are free of bugs;
- compatibility between application versions;
- continued development of an application;
- continued availability of particular features;
- security of third-party application source code;
- compatibility with plugins or extensions;
- application-level data integrity;
- compatibility with external services or APIs; or
- continued availability of software from its original developer or distributor.
KadakHost may assist with troubleshooting on a reasonable-effort basis but is not responsible for defects inherent to third-party software.
2.2 Application Updates
Where application updates are included, KadakHost may install updates periodically or where considered necessary for security or stability. Potentially breaking runtime and database changes for managed hosting are coordinated with the Customer; emergency protective action may still be needed.
Updates can occasionally introduce defects, incompatibilities or behavioural changes.
Where practical, KadakHost may take backups before significant upgrades, but this does not constitute a guarantee that every upgrade can be successfully rolled back.
2.3 Static Site Hosting
Static Site Hosting serves static files and compatible static build output. It includes the websites, published storage, outbound transfer, build allowance, domain configuration, HTTPS and backup scope stated in the selected plan. Server-side rendering, API execution, persistent background processes, mailboxes and a form-processing backend are not included. An external API or service used by a static site has its own hosting and charges.
Hosted builds use shared resources and the plan’s concurrency and per-build time limits. Elapsed build time, including failed builds, counts towards the allowance; queued waiting time does not. Externally built output does not consume hosted build minutes. Published storage covers the active site, with included retained backups accounted for separately.
2.4 Web App Hosting and Bundled Databases
Python, Node.js and Laravel use the same Web App plan catalogue. Each plan includes one production web service and one MySQL or PostgreSQL instance with one logical database, unless a different scope is agreed. The database, application, app-specific proxy, scheduler and any included worker share the plan’s total RAM, shared CPU and persistent-storage limits. The initial app/database memory split can be adjusted within that total during onboarding. An unused bundled database does not reduce the price.
The database has separate customer credentials, a persistent volume and restricted network access, while the underlying hosting infrastructure is shared. This is not a dedicated physical host or a reservation of CPU cores. External database access requires an assessed configuration. Independently deployed services, staging environments, extra databases, brokers and workers beyond the plan require separate agreement.
Connection, log, build, schedule and worker limits follow the selected plan. Connection limits count simultaneous application connections, not visitors. Persistent storage includes application uploads, database data, indexes and transaction logs. Application logs rotate within their own published size and retention limits. Customers must leave operating headroom and supply compatible working code, build/start instructions and environment configuration.
2.5 Standalone Managed Databases
Standalone Managed Database plans provide one MySQL or PostgreSQL instance with the resources, logical databases, connections and transfer stated in the plan. Both engines use the same price catalogue. Logical databases belong to one customer and share the instance’s resources. A separate standalone plan is not required merely to use the database already bundled with Web App Hosting.
Private connectivity is preferred where available. Approved remote access uses TLS and source-IP restrictions; an unrestricted public database endpoint is not included. Setup, routine engine maintenance coordination, backup operations and recovery assistance are included within the plan. Schema design, query rewriting, ongoing DBA consulting, specialist extensions, clustering, replicas, point-in-time recovery and major-version migrations require separate scope where not expressly included.
2.6 Custom Hosting, Management and Usage Limits
Custom Application Hosting and additional management are provided against an agreed scope covering topology, capacity, location, dependencies, deployment, migration, maintenance, backups, monitoring and support. One-time setup or migration charges are distinguished from recurring infrastructure and management charges. Licences and externally billed services are identified separately. Extra work requires an agreed scope change.
For fixed-price managed plans, standard initial setup for a compatible deployment-ready project is included. Domain registration, mailboxes, paid licences, external APIs and other subscriptions remain separate. Customers retain responsibility for their application code, schema migrations and dependencies within their own code or images. Updates that may break application or database compatibility are coordinated with the Customer.
Managed-plan resource allowances reset each monthly billing cycle and do not roll over. CPU may be throttled, memory exhaustion may stop a process, and full storage may prevent writes. Hosted builds pause when their allowance is exhausted while the current deployment remains available, subject to its other limits. At the transfer cap, outbound service may be restricted until an agreed upgrade or the next cycle. There are no automatic overage charges for these fixed-price managed plans; additional capacity requires an agreed upgrade or quote. Managed backup traffic and same-host private application-to-database traffic are excluded from outbound transfer, while other service-to-service egress counts against the originating Service. An upgrade may require a coordinated restart or migration.
2.7 Third-Party Infrastructure
Customers acknowledge that some KadakHost Services may depend partly or entirely upon third-party infrastructure providers.
Outages, maintenance, capacity limitations, routing incidents, hardware failures, network issues, security incidents, regulatory actions, policy changes or service restrictions affecting an infrastructure provider may affect KadakHost Services.
Where an issue is caused by infrastructure outside KadakHost’s direct control, KadakHost will make reasonable efforts to coordinate or facilitate resolution but cannot guarantee resolution within a particular timeframe unless expressly stated in a Service Level Agreement.
2.8 AI Hosting
AI Hosting provides the selected supported application, an HTTPS login on a kadakhost.cloud subdomain, secure credential handover, routine hosting maintenance and the backups described below. OpenClaw, Hermes Agent, AnythingLLM and Langflow use separate customer application stacks on shared infrastructure. OpenHands uses a separate customer hosting environment for a single owner; underlying CPU may still be shared. Plans do not include enterprise software features unless expressly agreed.
CPU allowances are shared maximum limits, not reserved cores or guaranteed throughput. RAM and storage limits cover the entire customer stack, including databases, workers and execution workspaces. Memory exhaustion can stop processes, CPU may be throttled and storage exhaustion can prevent writes. Monthly outbound allowances exclude managed backup traffic. At the allowance, service may be restricted pending an agreed upgrade or the next billing cycle; no automatic overage charges apply.
Customers supply compatible AI, embedding, repository and tool credentials and pay those providers directly. Hosting fees do not include tokens, GPU compute, local model serving or third-party subscriptions. Customers manage prompts, content, workflows, integrations, permissions and generated code, including review before running code or authorising external actions. Hosting support does not include application development or a guarantee of AI accuracy or results.
AI Hosting is provisioned in India subject to availability confirmed before payment. Backup storage may be outside India; its region is disclosed during onboarding. Selected AI and tool providers may process data in other locations. Standard fresh-instance setup is included; migrations and custom work require an agreed scope. Standard support is Monday–Saturday, 10:00–18:00 IST, excluding public holidays, by ticket and email, without a guaranteed response time. Standard plans include no automatic scaling, high availability or uptime SLA.
3. Customer Accounts
Customers may be required to create an account before ordering or managing Services.
You must provide accurate and current information.
You are responsible for maintaining the confidentiality of:
- account passwords;
- API keys;
- SSH credentials;
- server passwords;
- control panel credentials;
- backup credentials; and
- any other authentication information associated with your account or Services.
You are responsible for activity performed through your account unless the activity resulted directly from a security failure within systems controlled by KadakHost.
You must notify KadakHost promptly if you suspect unauthorised access.
4. Orders and Service Activation
Submitting an order does not guarantee acceptance or provisioning.
KadakHost may verify an order before accepting it.
We may reject or cancel an order where:
- infrastructure is unavailable;
- payment verification fails;
- fraud is suspected;
- customer information cannot be verified;
- the intended use violates these Terms;
- fulfilling the order would violate applicable law or infrastructure requirements; or
- a pricing or technical error has occurred.
An order is considered successfully provisioned only once the applicable service has actually been created or activated.
A successful payment alone does not necessarily mean that infrastructure has successfully been provisioned.
5. Pricing and Taxes
Prices displayed on the KadakHost website may be exclusive or inclusive of applicable taxes depending on how they are presented at checkout.
Applicable taxes, including GST where required, will be shown on the applicable invoice or transaction documentation.
Customers are responsible for providing accurate billing information and, where applicable, valid GST information.
Prices may change from time to time.
Price changes will normally apply to future billing periods rather than retrospectively to an already-paid billing period unless required because of taxes, government charges or correction of an obvious pricing error.
KadakHost may rely upon third-party software, infrastructure or service providers whose pricing may change.
KadakHost reserves the right to revise its service pricing to reflect changes in underlying costs, exchange rates, taxes, infrastructure costs or other commercial factors.
6. Payments
Services must generally be paid for in advance unless otherwise agreed in writing.
Payments may be processed through third-party payment gateways or financial service providers.
KadakHost does not ordinarily store complete credit card, debit card, UPI or banking credentials where payment processing is performed directly by the payment provider.
Payment processing may therefore also be subject to the terms and policies of the relevant payment provider.
7. Recurring Services and Renewals
Hosting and other subscription-based services may renew according to the billing period selected at purchase.
Customers are responsible for ensuring payment is completed before the applicable due date.
Where automatic renewal is available and expressly enabled by the customer, KadakHost or its payment processing provider may attempt to charge the selected payment method.
Failure of an automatic payment does not remove the customer’s responsibility to renew the Service.
8. Non-Payment and Suspension
If payment is not received by the applicable due date, KadakHost may suspend the affected Service.
A suspended Service may become inaccessible, including:
- websites;
- applications;
- APIs;
- databases;
- dashboards;
- management panels; and
- stored files.
KadakHost may provide a grace period, but a grace period is not guaranteed unless specified in the applicable product description.
Services remaining unpaid after the applicable retention or termination period may be permanently deleted.
Once deletion occurs, recovery may not be possible.
Customers are responsible for maintaining independent copies of critical data.
9. Backups
Backups are included only where expressly stated in the applicable service plan, quotation or service description.
The existence of a backup feature does not replace the customer’s responsibility to maintain independent copies of business-critical data.
Backup frequency, retention and location may vary by service.
Backups may be stored using infrastructure or storage services supplied by third-party providers.
KadakHost does not guarantee that every backup will:
- complete successfully;
- contain every file;
- represent an application-consistent state;
- be free from corruption;
- be immediately restorable; or
- remain available indefinitely.
KadakHost will use commercially reasonable efforts to operate backup systems included in managed plans and to address identified backup failures.
Customers should maintain independent or off-platform backups where loss of data would cause material harm.
9.1 Service-Specific Backup Commitments
Fixed-price Static Site, Web App, Managed Database and AI Hosting plans include daily backups with seven-day rolling retention as described in the plan accepted at purchase. AI Hosting backups cover declared persistent application volumes, configuration and an appropriate consistent database export, retaining seven daily restore points off-server without reducing the customer storage allowance. Static backups cover deployed content; Web App backups cover declared persistent volumes and a database-consistent backup; standalone database backups use an engine-appropriate consistent method. Included backup capacity covers plan-sized data and the included retention period, with backup success checks and separate storage encrypted in transit and at rest.
Ephemeral files, external services, undeclared volumes and Git repository history outside KadakHost are not included in those backups. Application files and database backups may not form a single atomic recovery point; coordinated application-consistent recovery is separately scoped when needed. Restore assistance is provided during the applicable support hours after the owner confirms the recovery point and overwrite implications.
Daily scheduling can leave approximately 24 hours of changes since the last successful backup, or longer after a failure. It is not a guaranteed RPO or RTO. These limitations do not remove the agreed backup scope or our responsibility to address failures in the backup service. Custom engagements follow their expressly agreed backup terms.
10. Disaster Recovery
Where Disaster Recovery (“DR”) is included in a managed service, KadakHost will make commercially reasonable efforts to recover affected infrastructure or applications following a qualifying failure.
Unless explicitly specified in a separate service agreement, quotation or SLA, no specific:
- Recovery Time Objective (“RTO”);
- Recovery Point Objective (“RPO”);
- maximum downtime; or
- maximum acceptable data loss
is guaranteed.
A disaster recovery plan is a risk-reduction mechanism and not a guarantee against downtime or data loss.
10.1 High Availability and Disaster Recovery Solutions
HA and DR are separately assessed and quoted for eligible KadakHost-hosted Services, including static sites, web apps, databases and custom applications. A fixed-price managed plan alone does not include HA, automatic host failover, a geographically separate standby environment or an uptime SLA.
The accepted proposal specifies the recovery topology, locations, dependencies, capacity, RTO (target restoration time), RPO (target recent data loss), manual or automated failover, failback, testing frequency, responsibilities and support coverage. DNS, ingress, certificates, secrets, persistent files and databases must be considered. The supported design depends on the application’s capabilities; stateful workloads may require backup-based recovery rather than seamless failover.
Replication does not replace independent backups. No zero-downtime or zero-data-loss guarantee is created unless an express agreement supports it. One-time design/setup work, recurring resources, management and agreed recovery exercises are charged as identified in the proposal. Specific agreed recovery commitments remain binding despite general limitations in these Terms.
11. Monitoring
Managed services may include monitoring of infrastructure and application availability.
Monitoring does not mean that KadakHost continuously supervises every component of a customer’s application.
Monitoring may identify conditions such as:
- host unavailability;
- resource exhaustion;
- application endpoint failure;
- disk usage;
- service failure; or
- other configured alerts.
The exact scope depends upon the purchased service.
KadakHost does not guarantee that monitoring will detect every incident or detect an incident immediately.
12. Support
Technical support is available according to the support scope of the purchased Service.
Support may be provided through:
- support tickets;
- email;
- messaging channels designated by KadakHost; or
- another published support method.
Response times are targets unless explicitly designated as contractual Service Level Agreements.
Resolution time depends upon the nature and complexity of the issue and may depend upon third-party software, infrastructure or service providers.
Support does not include unrelated development, consulting, application modification or system administration unless included in the applicable Service.
For fixed-price Managed App Hosting, standard support hours are Monday–Saturday, 10:00–18:00 IST, excluding public holidays, unless the accepted order specifies different coverage. Requests may be submitted outside these hours for handling in the next support window. These hours do not establish a 24/7 response commitment for other products. Consumer grievance deadlines required by law remain separate from technical support targets.
13. Maintenance
KadakHost may perform maintenance necessary to maintain security, performance and reliability.
Where practical, planned maintenance likely to materially affect availability may be communicated in advance.
Emergency maintenance may be performed without advance notice where necessary to:
- address security vulnerabilities;
- prevent infrastructure failure;
- mitigate abuse;
- respond to infrastructure or software requirements; or
- protect KadakHost, its customers or third parties.
14. Service Availability and Uptime
KadakHost aims to provide reliable services but does not guarantee uninterrupted availability unless a specific uptime commitment is provided in a separate SLA.
Downtime may result from circumstances including:
- third-party infrastructure outages;
- internet routing failures;
- software defects;
- distributed denial-of-service attacks;
- cyber incidents;
- emergency maintenance;
- data-centre failures;
- hardware failure;
- network outages;
- third-party software failures;
- government action;
- natural disasters;
- customer configuration;
- application defects; or
- circumstances outside KadakHost’s reasonable control.
Any service credits for downtime will apply only if expressly provided under the applicable service plan or SLA.
15. Acceptable Use
Customers must use KadakHost Services only for lawful purposes.
You must not use the Services to host, distribute, operate, facilitate or knowingly support:
- malware;
- ransomware;
- viruses;
- botnets;
- credential-stealing software;
- phishing websites;
- fraudulent schemes;
- unauthorised network scanning;
- denial-of-service attacks;
- systems designed to attack third-party networks;
- unsolicited bulk email or spam;
- copyright-infringing material where you do not possess required rights;
- stolen data;
- illegal pornography;
- child sexual abuse material;
- material prohibited by applicable law;
- illegal gambling operations;
- unlawful financial schemes;
- unauthorised cryptocurrency mining where prohibited by the applicable infrastructure environment;
- proxy or network services used primarily to facilitate abuse;
- systems intended to circumvent lawful access restrictions; or
- any activity prohibited by applicable law or by requirements reasonably imposed on KadakHost by infrastructure, software, network or service providers necessary to deliver the Service.
Customers must not deliberately consume excessive shared resources in a manner that materially degrades services for other customers.
16. Security Abuse and Network Activity
Customers must not:
- attempt unauthorised access to third-party systems;
- perform port scanning against systems without authorisation;
- spoof source IP addresses;
- participate in DDoS attacks;
- host command-and-control infrastructure for malware;
- distribute malicious payloads;
- knowingly operate compromised systems; or
- attempt to bypass KadakHost security or resource controls.
KadakHost may temporarily isolate or suspend a server without prior notice where we reasonably believe it is causing or participating in a security incident.
17. Abuse Complaints
KadakHost may investigate credible reports of abuse relating to hosted infrastructure.
Depending on the severity of the issue, KadakHost may:
- notify the Customer;
- request corrective action;
- disable affected content;
- restrict network access;
- temporarily suspend the Service;
- permanently terminate the Service; or
- cooperate with infrastructure providers, network providers, software providers or competent legal authorities.
For serious security threats, fraud, malware, child exploitation material, active attacks or circumstances requiring immediate action, suspension may occur without advance notice.
18. Customer Content and Data
Customers retain ownership of data and content they upload to their Services.
By using KadakHost infrastructure, you grant KadakHost the limited rights necessary to store, transmit, copy, back up, restore and otherwise process your data solely as reasonably necessary to provide the Services.
Where necessary to deliver the Service, KadakHost may process, transmit or store customer data using third-party infrastructure, storage, software or service providers.
You represent that you possess all permissions and legal rights necessary to host and process your content.
KadakHost does not claim ownership of customer content.
19. Customer Responsibility for Data
Customers remain responsible for determining:
- whether their application may legally collect particular information;
- what information their application collects;
- the legal basis on which information is collected;
- how long information should be retained;
- whom the information may be shared with;
- whether consent is required; and
- whether industry-specific regulatory requirements apply.
Where KadakHost acts solely as an infrastructure or hosting provider, the customer’s regulatory obligations relating to the customer’s own users remain the customer’s responsibility.
Additional data-processing terms may be agreed where required.
20. Personal Data and Privacy
KadakHost’s collection and processing of personal information relating to customers and website visitors is governed by the KadakHost Privacy Policy.
Customers using KadakHost infrastructure to process personal data belonging to their own customers, employees, users or other individuals remain responsible for ensuring that their processing complies with applicable privacy and data-protection law.
21. Intellectual Property
KadakHost, VRSK Enterprises and their licensors retain all rights in:
- KadakHost branding;
- logos;
- website design;
- documentation;
- service descriptions;
- proprietary software;
- service interfaces; and
- other original materials created by KadakHost.
Nothing in these Terms transfers ownership of KadakHost intellectual property to the Customer.
Third-party software remains subject to its respective licence.
22. Software Licensing
Customers are responsible for maintaining licences required for software installed on their servers unless the licence is expressly included with the purchased Service.
Use of open-source software remains subject to its applicable open-source licence.
KadakHost is not responsible for a customer’s violation of third-party software licensing requirements.
23. Third-Party Services and Infrastructure
KadakHost may rely upon third-party applications, software, infrastructure, cloud platforms, data centres, network providers, storage providers, payment processors, monitoring services, control panels, APIs, open-source projects and other external services in order to provide the Services.
Such third parties operate independently of KadakHost.
KadakHost may select, replace or change such providers at its discretion where reasonably necessary for operational, technical, security, availability, performance or commercial reasons.
The Customer acknowledges that:
- portions of the Service may operate on infrastructure not owned by KadakHost;
- some features may depend upon third-party software or services;
- third-party outages or changes may affect KadakHost Services;
- third-party terms, technical limitations or restrictions may indirectly affect the Services;
- the availability of specific geographical regions, infrastructure configurations or software features may change; and
- KadakHost cannot control the internal operations of independent third-party providers.
Use of third-party providers does not change the Customer’s contractual relationship with KadakHost for Services purchased directly from KadakHost.
Where a third-party failure affects the Service, KadakHost will make commercially reasonable efforts to restore or facilitate restoration of the affected Service.
References to third-party technologies, software or trademarks in technical documentation or support communications do not imply sponsorship, affiliation or endorsement.
24. Infrastructure Migration
KadakHost may migrate managed workloads between servers, clusters, networks, data centres, regions or infrastructure providers where reasonably required for:
- maintenance;
- security;
- capacity management;
- hardware replacement;
- provider migration;
- disaster recovery;
- infrastructure optimisation; or
- improved service reliability.
We will make reasonable efforts to minimise disruption during planned migrations.
Where practical and where customer action is required, KadakHost will provide appropriate notice.
25. IP Addresses
Any IP address allocated with a Service remains part of the hosting service and is not owned by the Customer.
IP addresses may change where required because of:
- infrastructure migration;
- network reconfiguration;
- abuse remediation;
- provider changes;
- security requirements; or
- technical necessity.
Where practical, KadakHost will provide advance notice of planned IP changes.
26. Resource Usage
Customers may not intentionally circumvent resource limits.
Where unusually high resource consumption threatens platform stability, KadakHost may contact the Customer and request:
- workload optimisation;
- an upgrade;
- migration to dedicated resources; or
- another appropriate remediation.
In urgent circumstances, temporary resource restrictions may be applied to protect infrastructure.
27. Cancellation
Customers may request cancellation by emailing support@kadakhost.com or using another designated support method.
Cancellation normally takes effect at the end of the already-paid billing period unless otherwise stated.
Stopping use of a Service does not constitute cancellation.
Deleting an application or server does not necessarily cancel an associated subscription.
Customers remain responsible for cancelling services through the prescribed cancellation method.
The detailed cancellation and refund rules are contained in the KadakHost Refunds and Cancellations Policy, which forms part of these Terms.
28. Data Following Cancellation
Customers are responsible for exporting or downloading required data before cancellation becomes effective.
Following termination or expiry, KadakHost may delete:
- virtual servers;
- containers;
- application files;
- databases;
- backups;
- snapshots;
- configuration;
- logs; and
- associated service data.
KadakHost is not obligated to retain customer data indefinitely following cancellation.
Any specific post-cancellation retention period displayed for a product is provided as a recovery convenience and should not be treated as a backup guarantee.
29. Refunds
Refund eligibility is governed by the KadakHost Refunds and Cancellations Policy.
Unless required by applicable law or expressly provided in that policy, charges relating to successfully provisioned infrastructure, consumed resources, completed consulting work, third-party licences or other non-recoverable costs may not be refundable.
Where KadakHost cannot provision a paid Service, the applicable amount for the unprovided Service will be refunded or otherwise resolved in accordance with the Refunds and Cancellations Policy.
30. Consulting Services and Deliverables
For consulting assignments, KadakHost will perform the agreed work with reasonable skill and care.
Unless expressly agreed otherwise, estimates of effort, implementation timelines or completion dates are estimates rather than guarantees.
Delays may arise because of:
- customer dependencies;
- unavailable credentials;
- third-party APIs;
- infrastructure availability;
- software defects;
- external service changes;
- incomplete requirements; or
- matters outside KadakHost’s reasonable control.
The customer must provide timely access, information, credentials and approvals reasonably required for the engagement.
30.1 AI Consulting and Automation
AI Consulting & Automation packages cover the outcome and limits in the accepted statement of work, read together with the published package description. Workflow Starter is ₹19,900, AI Workflow ₹49,900 and AI Agent ₹99,900 for one-time implementation, excluding applicable GST and running costs. Limits on processes, workflows, connected applications, business actions, decision conditions, AI steps, documents, channels, tools and approval stages apply together. Technical retries, formatting, logging and error handling do not consume additional business-action allowance. Unused scope does not roll over. A fixed deliverable is not subject to an undisclosed engineering-hours cap.
The free discovery offer is one 60-minute session per business for its initial project, with a short email recap. It includes no prototype, production-system access, debugging or detailed design. Advisory and training scope is stated in the purchased description; a Blueprint or Workflow Review does not include implementation or repair unless separately agreed. Discovery or a booking enquiry does not accept a build order or confirm an appointment.
Before building, the parties approve a statement of work describing the outcome, exact systems and connections, representative inputs and outputs, volume and peak-load assumptions, prerequisites, permitted actions, approvals, recurring cost estimates and observable acceptance tests. An application connection is one service account or tenant; the automation platform and one AI model provider do not consume the business-application allowance. Other dependencies must be identified and costed. Standard connectors require usable documentation, eligible subscriptions and authorised access. Uncertain feasibility requires agreed investigation before a fixed implementation commitment.
Standard build payment is 50% to reserve the engagement and 50% after successful acceptance testing, before production activation and final handover, unless the accepted statement of work expressly provides different terms. Advisory engagements are payable upfront. Payment does not waive acceptance criteria or statutory remedies. Scope changes require an agreed price before implementation.
30.2 Acceptance, Revisions and Defect Fixes
Delivery estimates run from scope approval and availability of required access and sample data: normally 5–7 business days for Workflow Starter, 10–15 for AI Workflow and 20–30 for AI Agent. These remain estimates. Customer delays pause the schedule and may require a revised delivery slot.
Customers have five business days to provide acceptance feedback after the agreed demonstration or delivery for testing. Silence, payment or delivery of an export does not automatically constitute acceptance. Material failures against the agreed criteria are corrected before sign-off. Test results describe the agreed representative cases and do not guarantee performance on all future inputs.
Workflow Starter includes one consolidated revision round and 14 calendar days of defect fixes after handover. AI Workflow and AI Agent each include two consolidated revision rounds and 30 calendar days of defect fixes after handover. A revision adjusts the agreed fields, wording, prompts or business rules within the original process. New outcomes, integrations, channels, input categories or departments are separately scoped. Defects are failures to meet the approved scope, not new preferences, third-party changes or unsupported inputs. In-scope defects reported within the included period are corrected without charge and never consume paid care hours; the correction can continue after that period when reported in time. Mandatory remedies are unaffected.
30.3 Deliverables and Operating Boundaries
At handover, Customers receive the package’s project-specific exports, prompts, configuration inventory without exposed secrets, documentation, training and test results, including project code and runbooks where included. Customers receive continuing rights to use and modify their project deliverables. KadakHost retains pre-existing reusable components and documents the usage rights necessary to operate and modify the delivered project. This express permission applies notwithstanding the general intellectual-property provisions; third-party licenses remain applicable.
Deployment into one existing suitable customer-owned automation environment is included in build scope. New infrastructure, domains, hosting, platform maintenance, backups, HA and DR require a separate agreement. Model API usage, OCR, messaging, storage, connectors and platform subscriptions are separate charges. Customer accounts should be Customer-owned and paid directly where practical. Estimates are based on agreed usage assumptions and are not an all-inclusive operating charge. Hard spending limits are promised only where the selected architecture and providers enforce them; an alert alone is not a spending cap.
n8n implementation, review, training and Automation Care are consulting and support services for the Customer’s internal business use, performed in the Customer’s own n8n Cloud account or an instance on infrastructure contracted for and controlled by the Customer. The Customer retains account ownership and grants KadakHost authorised consultant access. KadakHost does not offer n8n hosting on its infrastructure, sell hosted n8n access, or operate client workflows and credentials in its own n8n instance under these packages. A separate hosting agreement does not override this exclusion. Embedding, white-label resale and software sublicensing are excluded. The selected use case, edition and subscriptions must satisfy applicable n8n licensing terms, including separate rights for enterprise features. Any future KadakHost-operated n8n service requires a separate licensing review and written permission or a commercial agreement from n8n covering the exact model before it is offered. KadakHost remains responsible for the licensing of what it supplies; Customer responsibility for their own accounts and use does not remove that obligation.
The Customer supplies a process owner, representative data, authorised access, eligible subscriptions and timely feedback. Provider choice, data retention, execution logging and test-data deletion are recorded before launch. Human approval is the default for consequential external communications, publishing, deletion, payments and financial-record changes. The approved scope may permit specific routine low-risk actions after testing. Permissions are limited to the agreed process, with a stop procedure and practical manual fallback.
Standard packages exclude model training/fine-tuning, voice agents, scraping/browser automation, major historical migration, custom software platforms, enterprise SSO or compliance certification, regulated decision-making and systems without a usable API. WhatsApp, custom portals and other excluded requirements need a separate proposal. AI output must be reviewed as agreed; no universal accuracy, zero-error operation, revenue or staff-replacement result is promised.
30.4 Optional Automation Care
Care is optional and covers named delivered workflows and agents. Care Essential is ₹4,900/month for up to three workflows and two engineering hours, with weekly health review, business-hours alert triage, minor configuration changes and a monthly email summary. Its initial response target is within two business days. Care Plus is ₹9,900/month for up to five workflows and one agent with five engineering hours, business-day health/alert review, monthly usage and quality review, minor fixes or prompt adjustments and one 30-minute review call. Its initial response target is within one business day. Applicable GST and running costs are extra.
Care operates Monday–Friday, 10:00–18:00 IST, excluding notified holidays. These hours differ from hosting support. Response targets cover acknowledgement and initial triage, not resolution, and provide neither 24/7 human coverage nor an uptime SLA. Automated alerts may operate outside human review hours.
Included hours cover investigation, calls, maintenance and changes and expire at month-end. Work beyond the allowance is ₹2,000/hour only after Customer approval, or a separately agreed fixed project. New workflows, integrations and major redesigns are separate builds; third-party outages and API changes can require additional approved work. Care begins after the included defect-fix period unless an earlier start is requested. Fixing an in-scope delivery defect reported within that period does not consume care hours.
31. Changes Requested by the Customer
Work outside the originally agreed scope of a consulting or managed service engagement may be treated as additional work.
KadakHost may provide a revised quotation or require additional payment before performing the additional work.
32. No Guarantee of Business Results
KadakHost provides technology infrastructure and technical services.
We do not guarantee that use of our Services will:
- generate revenue;
- reduce costs;
- increase sales;
- improve search rankings;
- satisfy regulatory requirements;
- prevent every security incident;
- eliminate downtime;
- prevent all data loss; or
- achieve any particular business outcome.
33. Security
KadakHost will take reasonable technical and organisational measures appropriate to the Services we operate.
No internet-connected infrastructure can be guaranteed to be completely secure.
Customers must use appropriate security practices including:
- strong passwords;
- multi-factor authentication where available;
- prompt software updates;
- appropriate firewall rules;
- secure management of API keys;
- minimum required access privileges; and
- secure handling of credentials.
34. Security Incidents
If KadakHost becomes aware of a material security incident affecting systems under our control, we will take reasonable steps to investigate, contain and remediate the issue.
Notifications will be provided where required by applicable law or where reasonably appropriate given the nature of the incident.
35. Suspension
KadakHost may suspend all or part of a Service where reasonably necessary because of:
- overdue payment;
- suspected fraud;
- security threats;
- abuse complaints;
- violation of these Terms;
- violation of law;
- excessive resource consumption threatening other customers;
- requirements imposed upon KadakHost by an infrastructure, network, software or service provider necessary to operate the Service;
- court or government orders; or
- emergency operational requirements.
Where circumstances permit, KadakHost may provide the Customer an opportunity to remedy the issue before termination.
Immediate suspension may occur where delay could expose KadakHost, its service providers, other customers or third parties to material risk.
36. Termination by KadakHost
KadakHost may terminate a Service where:
- there is a material or repeated violation of these Terms;
- fraudulent activity is identified;
- illegal activity is conducted using the Service;
- fees remain unpaid beyond the applicable grace period;
- continued service creates material security or operational risk;
- infrastructure or software necessary to provide the Service becomes permanently unavailable;
- a service provider required to deliver the Service permanently refuses or discontinues service;
- KadakHost is legally required to terminate service; or
- the Service is discontinued.
Where a Service is discontinued for commercial reasons unrelated to customer misconduct, KadakHost will make reasonable efforts to provide advance notice and, where appropriate, migration options or a prorated refund for an unused prepaid period.
37. Service Discontinuation
KadakHost may add, modify or discontinue products over time.
If a material paid Service is permanently discontinued, we will make reasonable efforts to notify affected customers and provide an appropriate transition mechanism.
38. Warranties
KadakHost will provide Services with reasonable skill and care.
Except for warranties expressly stated in these Terms or required under applicable law, the Services are provided on an “as available” basis.
KadakHost does not warrant that the Services will be completely uninterrupted, error-free or immune from security threats.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
39. Limitation of Liability
To the maximum extent permitted by applicable law, KadakHost and VRSK Enterprises will not be liable for indirect, incidental, special, consequential or exemplary loss arising from the Services, including loss of:
- profits;
- revenue;
- business opportunity;
- goodwill;
- anticipated savings; or
- data,
except where such liability cannot legally be excluded.
To the maximum extent permitted by law, KadakHost’s aggregate financial liability arising from a particular Service will not exceed the amount paid by the Customer to KadakHost for the affected Service during the three months immediately preceding the event giving rise to the claim.
Where the affected Service has existed for less than three months, the limit will be the amount actually paid for that Service.
This limitation does not apply where liability cannot lawfully be limited or excluded.
40. Customer Indemnity
To the extent permitted by applicable law, the Customer agrees to indemnify VRSK Enterprises against third-party claims, losses and reasonable expenses arising from:
- unlawful Customer content;
- infringement of third-party intellectual-property rights by Customer content;
- illegal use of the Services;
- attacks initiated from Customer-controlled systems;
- Customer violation of applicable law; or
- material violation of these Terms,
except to the extent the claim resulted from KadakHost’s own wrongful acts.
41. Force Majeure
KadakHost will not be responsible for delay or failure caused by circumstances beyond our reasonable control, including:
- natural disasters;
- floods;
- fire;
- earthquakes;
- war;
- terrorism;
- civil disturbance;
- government restrictions;
- widespread internet outages;
- data-centre outages;
- power-grid failures;
- telecommunications failures;
- major cyberattacks;
- third-party infrastructure failures; or
- other comparable events beyond reasonable control.
We will make reasonable efforts to restore affected Services.
42. Communications
KadakHost may communicate with customers regarding:
- orders;
- payments;
- invoices;
- service activation;
- security notices;
- abuse complaints;
- maintenance;
- suspension;
- renewal;
- cancellation; and
- material changes to Services.
Customers are responsible for maintaining an email address and contact details that they regularly monitor.
Operational and transactional communications may be necessary to provide the Service and are separate from optional marketing communications.
43. Electronic Records
Customers agree that orders, invoices, payment records, support tickets, emails, system records and electronic acceptance of these Terms may be maintained electronically.
Electronic records may be used as evidence of transactions and communications to the extent permitted by applicable law.
44. Changes to These Terms
KadakHost may revise these Terms where necessary because of:
- changes in Services;
- new products;
- legal requirements;
- security requirements;
- infrastructure or software requirements; or
- operational changes.
The current version will be published on the KadakHost website together with its effective or last-updated date.
Where a change materially affects an existing paid Service, KadakHost will make reasonable efforts to provide advance notice where appropriate.
Continued use of the Services following the effective date of revised Terms constitutes acceptance of those revised Terms, subject to rights available under applicable law.
45. Relationship of the Parties
Nothing in these Terms creates a partnership, employment relationship, agency, franchise or joint venture between the Customer and VRSK Enterprises.
KadakHost acts as an independent service provider.
46. Assignment
Customers may not transfer their account or contractual rights to another person or entity without KadakHost’s prior written consent where such transfer would materially affect service administration, billing, security or regulatory obligations.
VRSK Enterprises may assign or transfer its rights and obligations in connection with a restructuring, sale, merger or transfer of the KadakHost business, subject to applicable law.
47. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
The invalid provision will, where possible, be interpreted or modified to reflect its original commercial intent while remaining enforceable.
48. No Waiver
Failure by KadakHost to immediately enforce any provision of these Terms does not waive our right to enforce that provision later.
49. Entire Agreement
These Terms, together with any applicable:
- service description;
- order;
- quotation;
- statement of work;
- Service Level Agreement;
- Privacy Policy;
- Refunds and Cancellations Policy;
- Shipping and Service Delivery Policy; and
- other policy expressly incorporated into an order,
constitute the agreement governing the applicable Service.
Where a separately signed service agreement or statement of work expressly conflicts with these Terms, the separately signed agreement will prevail for that specific engagement.
50. Governing Law
These Terms are governed by the laws of India.
Subject to any statutory rights or forums that cannot lawfully be excluded, disputes relating to these Terms or KadakHost Services will be subject to the jurisdiction of the competent courts in Pune, Maharashtra, India.
51. Dispute Resolution
Customers should first contact KadakHost and provide reasonable details of the dispute so that both parties can attempt to resolve the matter informally.
Nothing in this provision prevents either party from seeking urgent legal relief where necessary or exercising rights available under applicable consumer law.
52. Customer Support and Grievances
Questions regarding these Terms, billing, service delivery or complaints may be submitted through the support channels displayed on the KadakHost website.

Where the Consumer Protection (E-Commerce) Rules apply, consumer complaints must be acknowledged within 48 hours and redressed within one month of receipt. Technical support hours do not extend those statutory deadlines. Customers retain access to applicable consumer and statutory dispute-resolution forums.
